Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and Farspeak Labs LLC (d/b/a RoastConsole) ("RoastConsole," "we," "us"), the operator of the RoastConsole roastery-management platform and related websites, APIs, and mobile apps (collectively, the "Service").

By creating an account, clicking "I agree," or using the Service, you accept these Terms. If you use the Service on behalf of a business or other organization (a "Roastery"), you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Service.

2. The Service

RoastConsole is a multi-tenant software-as-a-service platform that helps coffee roasters manage green coffee inventory, roast production and packing, sales orders and fulfillment, customer relationships, procurement, financials, and quality control (cupping). The Service includes optional features that connect to third-party platforms (e.g. e-commerce, payments, and accounting providers) and AI-assisted features such as demand forecasting and production suggestions.

We may add, change, or remove features over time. We will not make a material reduction in core functionality of a paid plan during a paid term without notice.

3. Accounts, team members, and security

  • Registration. You must provide accurate account information and keep it current. Authentication is provided through our identity provider (AWS Cognito); you are responsible for safeguarding your credentials.
  • Team members.You may invite users to your Roastery and assign them roles and permissions. You are responsible for your team members' activity and for managing their access. You must have authority to grant each invited user access to your data.
  • Eligibility. You must be at least 18 (or the age of majority in your jurisdiction) and not barred from receiving the Service under applicable law.
  • Security. Notify us promptly at support@roastconsole.com of any suspected unauthorized access. We are not liable for losses caused by unauthorized use of your credentials that you could have prevented.

4. Subscriptions, trials, and renewals

  • Free trial. New accounts may begin with a free trial (currently 14 days). We may change or end trial offers at any time. At the end of the trial, continued use requires an active paid subscription; otherwise access may be paused.
  • Plans and fees. Paid subscriptions are billed in advance on a recurring basis (currently monthly) at the prices and on the plan shown at checkout or on your billing page. Some plans include usage-based components (e.g. metered volume); usage charges are billed in arrears.
  • Auto-renewal. Subscriptions automatically renew for successive terms unless cancelled before the renewal date. You authorize us (through our payment processor) to charge your payment method for each renewal until you cancel.
  • Cancellation. You may cancel at any time from your billing settings. Cancellation takes effect at the end of the current paid term; you retain access until then.
  • Changes to pricing. We may change fees for future terms with reasonable prior notice; changes do not apply to the term already paid for.
  • Taxes. Fees are exclusive of taxes; you are responsible for applicable taxes other than taxes on our income.
  • Refunds. Except where required by law, fees are non-refundable.

5. Payments and connected payment services

  • Our subscription billing is processed by a third-party payment processor (Stripe). We do not store full payment card numbers; card data is handled by the processor under its terms.
  • Collecting from your own customers. The Service offers features that let your Roastery invoice and collect payments from its customers through connected payment providers (e.g. Stripe Connect, Square). For those transactions, you, not RoastConsole, are the merchant of record. You are responsible for your relationship with the payment provider, your customers, applicable card-network rules, refunds, chargebacks, and taxes. RoastConsole is not a party to and does not control those payments, and acts only as a technical facilitator.
  • Your use of any connected payment provider is also governed by that provider's own terms.

6. Your data and content

  • Ownership.As between you and us, you own the data, records, and content you or your team submit to the Service ("Your Data"), including data about your Roastery's own customers, suppliers, inventory, orders, and finances.
  • License to operate. You grant us a worldwide, non-exclusive license to host, process, transmit, display, and back up Your Data solely to provide, maintain, secure, and improve the Service and as otherwise described in the Privacy Policy.
  • Your responsibilities for third-party personal data. Where Your Data includes personal information about your own customers or contacts, you are the controller of that information and you represent that you have a lawful basis and any required notices/consents to provide it to us for processing. We process it as your service provider/processor under the Privacy Policy and (where applicable) a Data Processing Addendum.
  • Aggregated/de-identified data. We may create and use aggregated or de-identified data (that does not identify you or any individual) to operate and improve the Service.

7. Third-party integrations and services

The Service can connect to third-party platforms you authorize (for example, e-commerce stores, payment providers, and accounting software). When you connect a third-party service, you authorize us to exchange data with it on your behalf, and your use of that service is governed by its own terms and privacy policy. We are not responsible for third-party services, and their availability or changes may affect related Service features.

8. AI-assisted features

Certain features (such as demand forecasting, production suggestions, and assistant tools) use automated computation and/or third-party AI providers. These outputs are informational aids, not professional, financial, or business advice, and may be incomplete or inaccurate. You are responsible for reviewing and for any decisions you make based on them. To provide these features we may transmit relevant portions of Your Data to AI subprocessors as described in the Privacy Policy; those providers process the data to return results and, under their terms, do not use it to train their models except as disclosed.

9. Acceptable use

You agree not to: (a) use the Service unlawfully or in violation of third-party rights; (b) upload malware or attempt to gain unauthorized access to the Service, other tenants' data, or our systems; (c) probe, scan, or load-test the Service without permission, or circumvent rate limits or security; (d) resell, white-label, or provide the Service to third parties except your own authorized users; (e) reverse engineer or copy the Service except as permitted by law; or (f) use the Service to send unlawful, infringing, or deceptive communications. We may suspend access to address violations or threats to the Service or other users.

10. Service availability and support

We work to keep the Service available but provide it on an "as available" basis. We do not guarantee uninterrupted or error-free operation unless a separate written service-level agreement applies. We may perform maintenance and will aim to limit disruption. Support is provided through the channels we designate.

11. Intellectual property

The Service, including its software, design, and trademarks, is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription, subject to these Terms. We retain all rights not expressly granted. If you give us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.

12. Confidentiality

Each party may access the other's non-public information. Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms, except as required by law.

13. Suspension and termination

  • By you. You may stop using the Service and cancel as described in Section 4.
  • By us. We may suspend or terminate your access for material breach (including non-payment), for legal or security reasons, or on notice if we discontinue the Service.
  • Effect. On termination, your right to use the Service ends. For a limited period after termination, you may request export of Your Data; after that period we may delete Your Data in the ordinary course, subject to the retention and legal-hold practices in the Privacy Policy and backup cycles.

14. Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI-ASSISTED OUTPUTS OR FORECASTS WILL BE ACCURATE.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; AND (b) OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16. Indemnification

You will defend and indemnify us against third-party claims arising from Your Data, your use of the Service in violation of these Terms or law, or your products and your relationships with your own customers.

17. Changes to the Service and these Terms

We may update these Terms. If we make material changes, we will provide reasonable notice (e.g. by posting the updated Terms with a new "Last updated" date and/or in-app or email notice). Changes are effective when posted unless stated otherwise. Your continued use after changes take effect constitutes acceptance.

18. Governing law and disputes

These Terms are governed by the laws of the State of Wisconsin, United States, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located in the State of Wisconsin, except that either party may seek injunctive relief where available.

19. General

These Terms, together with the Privacy Policy and any order or plan you accept, are the entire agreement between you and us regarding the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor (e.g. in a merger or sale of assets). Neither party is liable for delays caused by events beyond its reasonable control.
